§ 1 Allgemeines
Die nachstehenden Allgemeinen Geschäftsbedingungen sind fester Bestandteil jeder vertraglichen Verkauf- und oder Liefervereinbarung. Abweichende oder entgegenstehende Abreden durch den Besteller haben keine Gültigkeit, es sei denn der Lieferant hat diese schriftlich für bestimmte Aufträge akzeptiert.
§ 2 Angebote, Aufträge
2.1 Die Angebote des Verkäufers sind bezüglich Preis, Menge, Lieferzeit und Verfügbarkeit unverbindlich.
2.2 Die Aufträge des Käufers werden für den Verkäufer nach Erhalt der schriftlichen Auftragsbestätigung des Verkäufers (auch Rechnung oder Lieferschein) durch den Käufer verbindlich.
§ 3 Vergütung
3.1 Vom Verkäufer werden die zum Zeitpunkt der Lieferung geltenden Preise in Rechnung gestellt.
3.2 Sollte der Verkäufer in der Zeit zwischen Vertragsschluss und Lieferung seine Preise allgemein erhöhen, hat der Käufer das Recht, vom Vertrag innerhalb von zwei Wochen, nachdem er davon Kenntnis erhalten hat, zurückzutreten, es sei denn, die Preiserhöhung beruht ausschließlich auf einer Erhöhung der Frachtkosten. Das Rücktrittsrecht gilt nicht für langfristige Lieferverträgen (Leistungen im Rahmen von Dauerschuldverträgen).
3.3 Wurde die Zahlung in einer anderen Währung als Euro (EUR) vereinbart, behält sich der Verkäufer das Recht vor, den ursprünglich vereinbarten Betrag zu verringern oder zu erhöhen, so dass der in Rechnung gestellte Betrag, in Euro umgerechnet, dem in Euro umgerechneten ursprünglich zum Zeitpunkt des Vertragsschlusses vereinbarten Betrag entspricht.
3.4 Das Gewicht der Waren, für die der in Rechnung zu stellende Betrag zu berechnen ist, wird in der Versandabteilung des Werks des Verkäufers berechnet, vor dem aus die Waren geliefert werden, es sei denn, der Käufer wünscht, dass sie auf seine Kosten durch die Eisenbahn an der Versandstation gewogen werden.
§ 4 Zahlung
4.1 Zahlungen gelten erst dann als erfolgt, wenn die Beträge auf einem der Konten des Verkäufers eingegangen sind.
4.2 Wenn der Verkäufer Grund zu Zweifeln an der Zahlungsfähigkeit oder Kreditwürdigkeit des Käufers hat und der Käufer nicht bereit ist, im Voraus Barzahlungen zu leisten oder geforderte Sicherheiten zu stellen, ist der Verkäufer berechtigt, den noch nicht durchgeführten Teil des Auftrages zu stornieren.
4.3 Der Verkäufer behält sich das Recht vor, Zahlungen zur Begleichung der jeweils ältesten fälligen Rechnungen zuzüglich etwaiger Verzugszinsen und darauf aufgelaufenen Kosten zu verwenden, in der folgenden Reihenfolge: Kosten, Zinsen, Hauptforderung.
4.4 Der Käufer ist nicht berechtigt, Zahlungen zurückzuhalten. Aufrechnungen sind nur dann zulässig, wenn sie mit unbestrittenen oder rechtskräftigen Forderungen erfolgen.
4.5 Andere Formen der Zahlung als Barzahlung oder Banküberweisung bedürfen der vorherigen schriftlichen Zustimmung des Verkäufers.
§ 5 Lieferung
5.1 Der Umfang der Lieferung hängt von der schriftlichen Auftragsbestätigung des Verkäufers ab.
5.2 Der Verkäufer bemüht sich nach besten Kräften, sobald wie möglich zu liefern. Es gibt keine festen Lieferfristen.
5.3 Aufgrund von niedrigen Temperaturen kann der Verkäufer entscheiden, dass ein Transport mit Thermofahrzeugen notwendig ist. Die entstandenen Mehrkosten werden dem Käufer in Rechnung gestellt.
5.4 Soweit abweichend vom vorigen Absatz ein fester Liefertermin vereinbart wurde und sich die Lieferung seitens des Verkäufers verzögert, hat der Käufer dem Verkäufer eine angemessene Nachfrist zu gewähren, normalerweise von vier Wochen.
5.5 Die Lieferung erfolgt vorbehaltlich der pünktlichen Lieferung der entsprechenden Waren durch die eigenen Lieferanten des Verkäufers.
5.6 Als Tag der Lieferung gilt der Tag, an dem die Waren das Werk oder Lager des Verkäufers verlassen oder, wenn dieser Tag nicht feststellbar ist, der Tag, an dem die Waren dem Käufer zur Verfügung gestellt wurden.
5.7 Für die Bereitstellung von Verpackungen einschließlich von Tankwagen und Tankcontainern durch den Verkäufer gelten besondere Bedingungen.
§ 6 Versand
6.1 Der Verkäufer behält sich das Recht vor, Verkehrswege und Verkehrsmittel zu wählen. Zusatzkosten, die durch besondere Versandwünsche des Käufers entstehen, sind von diesem zu tragen.
Sofern keine frachtfreie Lieferung vereinbart wurde, hat der Käufer auch Erhöhungen von Frachtkosten zu tragen, die nach dem Abschluss des Vertrages eintreten sowie Zusatzkosten, die durch Umleitung von Sendungen, Lagerung usw. entstehen.
6.2 Wenn nicht anders vereinbart, geht das Risiko von Zerstörung, Verlust und Beschädigung mit Versand der Waren oder, falls sie vom Käufer abgeholt werden, zum Zeitpunkt, an dem sie dem Käufer zur Verfügung gestellt werden, auf den Käufer über.
§ 7 Höhere Gewalt, Vertragshindernisse
Höhere Gewalt jeder Art, unvorhersehbare Betriebs-, Verkehrs-oder Versandstörungen, Feuer, Überschwemmungen, unvorhersehbarer Mangel an Arbeitskräften, Energie oder Rohstoffen und Materialien, Streiks, Aussperrungen, behördliche Maßnahmen und sonstige Hindernisse, die außerhalb der Kontrolle der pflichtigen Partei liegen, welche Produktion, Versand, Annahme oder Verwendung der Waren verringern, verzögern oder verhindern oder bewirken, dass sie mit einem unangemessenen Aufwand verbunden sind, befreien die Partei von der Verpflichtung zur Lieferung beziehungsweise Abnahme, solange und soweit die Störung andauert. Wird infolge der Störung die Lieferung oder Abnahme um mehr als acht Wochen verzögert, so ist jede der Parteien berechtigt, vom Vertrag zurückzutreten. Sollten die Lieferanten des Verkäufers es versäumen, ihn ganz oder teilweise zu beliefern, ist der Verkäufer nicht verpflichtet, von anderen Quellen Waren zu beziehen. In solchen Fällen ist der Verkäufer berechtigt, die verfügbaren Mengen unter seinen Kunden zu verteilen und gleichzeitig seinen Eigenbedarf zu decken.
§ 8 Eigentumsvorbehalt
8.1 Das Eigentum an den Waren geht erst auf den Käufer über, wenn er alle Verbindlichkeiten aus der Geschäftsverbindung mit dem Verkäufer, einschließlich Nebenforderungen, Forderungen aus Schadensersatzansprüchen und der Einlösung von Schecks und Wechseln, erfüllt hat. Der Verkäufer behält außerdem das Eigentum, wenn die Forderungen des Verkäufers in ein laufendes Konto aufgenommen wurden und der Saldo auf diesem Konto anerkannt ist.
8.2 Kommt der Käufer seinen Verpflichtungen gegenüber dem Verkäufer nicht nach, ist der Verkäufer ohne Setzung einer Nachfrist und ohne Rücktritt vom Vertrag berechtigt, die Rückgabe der Waren zu verlangen, an denen er sich das Eigentum vorbehalten hatte. Die Rücknahme der Waren gilt nicht als Rücktritt vom Vertrag, es sei denn, der Verkäufer erklärt dies ausdrücklich schriftlich. Tritt der Verkäufer vom Vertrag zurück, so hat er Anspruch auf eine angemessene Entschädigung dafür, dem Kunden zeitweilig den Gebrauch der Waren gestattet zu haben.
8.3 Wenn unter Eigentumsvorbehalt stehende Waren zu neuen Produkten verarbeitet werden, gilt die Verarbeitung als vom Käufer für den Verkäufer bewirkt, ohne dass jener dadurch Ansprüche gegen den Verkäufer erwirbt. Der Anspruch des Verkäufers erstreckt sich somit auch auf die hergestellten Erzeugnisse. Werden unter Eigentumsvorbehalt stehende Waren zusammen mit anderen Waren, an denen Dritte Eigentumsrechts haben, verarbeitet, mit ihnen vermischt oder verbunden, so erwirbt der Verkäufer an den hierdurch entstandenen Erzeugnissen im Verhältnis des Rechnungswertes der in seinem Eigentum stehenden Waren zu dem Rechnungswert der Waren der Dritten Miteigentum. Wird die Ware als Ergebnis einer solchen Verbindung oder Vermischung zu einem Teil einer Sache des Käufers, überträgt der Käufer mit der Annahme dieser Bedingungen schon jetzt seine Eigentumsrechte an dem neuen Gegenstand auf den Verkäufer.
8.4 Der Käufer ist verpflichtet, die unter Eigentumsvorbehalt des Verkäufers stehenden Sachen für den Verkäufer aber auf eigene Kosten sachgerecht zu lagern, instandzuhalten und zu reparieren sowie in einem Umfang, der von einem sorgfältigen Kaufmann zu verlangen ist, auf eigene Kosten gegen Verlust und Beschädigung zu versichern. Mit der Annahme dieser Bedingungen tritt der Käufer dem Verkäufer im Voraus alle ihm aus Versicherungsverträgen über die unter Eigentumsvorbehalt stehenden Sachen zustehenden Forderungen an den Verkäufer ab.
8.5 Solange der Käufer seinen Zahlungsverpflichtungen gegenüber dem Verkäufer nachkommt, ist er berechtigt, im Rahmen des üblichen Geschäftsbetriebes über die unter Eigentumsvorbehalt stehenden Sachen nach Belieben zu verfügen. Dies gilt jedoch nicht, wenn er mit seinen Kunden Verträge abschließt, nach denen der Käufer seine Ansprüche nicht auf Dritte übertragen darf. Der Käufer hat nicht das Recht, die unter Eigentumsvorbehalt des Verkäufers stehenden Sachen zu verpfänden, zur Sicherheit zu übereignen oder sonst zu belasten. Beim Weiterverkauf der Waren darf der Käufer das Eigentum nur unter der Bedingung der vollständigen Bezahlung der Waren durch seine Kunden übertragen.
8.6 Mit der Annahme dieser Bedingungen tritt der Käufer tritt im Voraus dem Verkäufer alle Forderungen, die sich aus einem Weiterverkauf der unter dem Eigentumsvorbehalt des Verkäufers stehenden Waren ergeben, einschließlich aller Nebenrechten und Sicherheiten einschließlich Wechsel und Schecks, ab, um dem Verkäufer Sicherheit für alle sich aus der Geschäftsverbindung ergebenden Forderungen gegen den Käufer zu gewähren. Werden Waren, die unter dem Eigen-tumsvorbehalt des Verkäufers stehen, zusammen mit anderen Waren zu einem Gesamtpreis verkauft, beschränkt sich die Abtretung auf den anteiligen Rechnungswert der unter dem Eigen-tumsvorbehalt des Verkäufers stehenden Waren. Wenn der Käufer Waren veräußert, an denen der Verkäufer gemäß Nr. 8.3 Miteigentum hat, beschränkt sich die Abtretung auf den anteiligen Rechnungswert des Miteigentumsanteils des Verkäufers an den Waren. Verwendet der Käufer unter dem Eigentumsvorbehalt des Verkäufers stehende Waren zur Herstellung von Erzeugnissen Dritter auf vertraglicher Grundlage, so tritt er mit Annahme dieser Bedingungen im Voraus seine vertraglichen Ansprüche gegen den Dritten an den Verkäufer ab, um ihm Sicherheit für seine Ansprüche zu gewähren. Solange der Käufer seinen Zahlungsverpflichtungen gegenüber dem Verkäufer fristgemäß nachkommt, kann er aus einem Weiterverkauf oder einer Weiterverarbeitung sich ergebende Forderungen selbst einzuziehen. Er ist nicht zur berechtigt, solche Forderungen als Sicherheit abzutreten oder zu verpfänden.
8.7 Wenn der Verkäufer die Verwirklichung seiner Ansprüche für gefährdet hält, so hat der Käufer auf Verlangen des Verkäufers seine Kunden von der Abtretung seiner Forderungen an den Verkäufer zu unterrichten und dem Verkäufer alle erforderlichen Informationen und Unterlagen zur Verfügung zu stellen. Über Handlungen Dritter, die auf Beschlagnahme der Waren, die unter dem Eigentumsvorbehalt des Verkäufer stehen oder auf Einzug von Forderungen, die dem Verkäufer übertragen wurden, gerichtet sind, hat der Käufer den Verkäufer unverzüglich zu unterrichten.
8.8 Wenn der Wert der dem Verkäufer gewährten Sicherheiten den Wert der zu sichernden Forderungen um mehr als 20 Prozent übersteigt, hat der Verkäufer auf Verlangen des Käufers nach eigener Wahl im entsprechenden Umfang auf Sicherheiten zu verzichten.
§ 9 Mängel und Fehler
9.1 Der Käufer muss den Verkäufer über alle Mängel oder Fehler unmittelbar nach deren Feststellung schriftlich unterrichten.
9.2 Gebrauchsspuren an gelieferter Ware, die durch natürlichen Verschleiß oder unsachgemäße Nutzung bzw. Lagerung durch den Käufer verursacht wurden, unterliegen nicht der Gewährleistung.
§ 10 Technische Beratung
Technische Beratung durch die Vertriebsmitarbeiter des Verkäufers erfolgt nach bestem Wissen, ist jedoch als unverbindliche Information anzusehen. Der Käufer ist selbst verpflichtet, die Anwendbarkeit der gelieferten Waren zu prüfen.
§ 11 Produkthaftpflicht und Versicherung
Der Verkäufer haftet unter keinen Umständen für einen Verlust der Produktion, entgangenen Gewinn oder sonstige Folgeschäden.
Der Versicherungsschutz ist auf 10.000.000 DKK beschränkt.
§ 12 Rechtswahl und Gerichtsstand
12.1 Für diese AGB und alle diesen AGB unterfallenden vertraglichen Rechtsbeziehungen zwischen uns und dem Kunden gilt das Recht der Bundesrepublik Deutschland unter Ausschluss des Kollisionsrechts und des Übereinkommens der Vereinten Nationen über Verträge über den internationalen Warenkauf (CISG).
12.2 Ist der Kunde Kaufmann im Sinne des Handelsgesetzbuchs, juristische Person des öffentlichen Rechts oder ein öffentlich-rechtliches Sondervermögen, ist ausschließlicher – auch internationaler – Gerichtsstand für alle sich aus dem oder im Zusammenhang mit dem Vertragsverhältnis ergebenden Streitigkeiten Flensburg. Wir sind jedoch auch berechtigt, Klage am allgemeinen Gerichtsstand des Kunden zu erheben.

General terms of sale and delivery

1. General note
These General Conditions of Sale and Delivery shall be an integral part of any contract of purchase. Conflicting or deviating conditions of purchase or other reservations made by the Buyer shall not be effective unless the Seller has expressly accepted them in writing for a particular order.
2. Offers, Orders
2.1 The Seller‘s offers shall not be binding with respect to price, quantity, delivery time and availability.
2.2 The Buyer‘s orders shall become binding on the Seller upon receipt by the Buyer of the Seller‘s written order acknowledgment (or invoice or delivery note).
3. Remuneration
3.1 The prices invoiced shall be the Seller‘s prices effective at the time of delivery.
3.2 Should the Seller, in the interval between conclusion of the contract and delivery, effect a general price increase, the Buyer shall have the right to withdraw from the contract within two weeks of having been informed thereof, unless the price increase is exclusively due to an increase in freight rates. The right of withdrawal shall not apply to long-term supply contracts (contracts for the performance of a continuing obligation).
3.3 Where payment has been agreed in a currency other than euros (EUR), the Seller reserves the right to reduce or increase the amount originally agreed so that, when translated into euros, the sum invoiced is equivalent to the euro value resulting from translation of the amount originally agreed at the time the contract was concluded.
3.4 The weight of the goods on which the invoiced amount is to be calculated shall be ascertained in the dispatch department of the Seller’s plant from which the goods are supplied unless the Buyer wishes them to be weighed, at his expense, by the railway authorities at the station of dispatch.
4. Payment
4.1 Payment shall not be deemed to have been effected until the amount has been cleared into one of the Seller’s accounts.
4.2 Where the Seller has reason to doubt the Buyer’s solvency or creditworthiness and the Buyer is not prepared to effect advance cash payment or provide the Seller with security as requested, the Seller shall have the right to cancel that portion of the contract which he has not yet performed.
4.3 The Seller reserves the right to use payments for the settlement of the invoices which have been outstanding longest, plus any interest on arrears and costs accrued thereon, in the following order: costs, interest, principal claim.
4.4 The Buyer shall not have the right to withhold payments. Counterclaims may only be offset if they are uncontested or have become res judicata.
4.5 Any form of payment other than cash payments or bank transferal shall be subject to the Seller’s prior consent in written form.
5. Delivery
5.1 The scale of delivery depends on the Seller´s written order confirmation.
5.2 The Seller shall make every effort to effect delivery as early as possible. There shall be no fixed periods for delivery.
5.3 Should, notwithstanding the preceding paragraph, a fixed period for delivery have been agreed, and should the Seller default with the supply, the Buyer shall grant the Seller a reasonable respite, normally of four weeks.
5.4 Delivery shall be subject to punctual delivery of the appropriate goods by the Seller’s own suppliers.
5.5 The day of delivery shall be the day on which the goods leave the Seller’s plant or warehouse or, if that day cannot be ascertained, the day on which the goods are put at the Buyer’s disposal.
5.6 The provision of packaging including tankers and tank containers by the Seller shall be subject to special conditions.
6. Shipment
6.1 The Seller reserves the right to choose the route and the mode of transport. Any additional costs resulting from special shipping requests made by the Buyer shall be borne by the Buyer. Unless prepaid freight has been agreed, the Buyer shall also bear any increases in freight rates which become effective after the contract has been concluded, any additional costs resulting from re-routing a consignment, storage expenses, etc.
6.2 In case of low temperatures, the seller can decide that a transport with temperature-controlled vehicles is necessary. The resulting additional costs will be paid by the Buyer.
6.3 If not agreed otherwise the risk of destruction, loss or damage shall pass to the Buyer upon dispatch of the goods or, if they are collected by the Buyer, at the time they are placed at the Buyer’s disposal.
7. Force Majeure, Impediments to Performance
Force majeure of any kind, unforeseeable production, traffic or shipping disturbances, fire, floods, unforeseeable shortages of labor, utilities or raw materials and supplies, strikes, lockouts, acts of government, and any other hindrances beyond the control of the party obliged to perform which diminish, delay or prevent production, shipment, acceptance or use of the goods, or make it an unreasonable proposition, shall relieve the party from its obligation to supply or take delivery, as the case may be, as long as and to the extent that the hindrance prevails. If, as a result of the hindrance, supply and/or acceptance is delayed by more than eight weeks, either party shall have the right to cancel the contract. Should the Seller’s suppliers fail to supply him in whole or in part, the Seller shall not be under obligation to purchase from other sources. In such cases, the Seller shall have the right to distribute the available quantities among his customers while at the same time taking into account his captive requirements.
8. Retention of Title/ Reservation of property rights
8.1 Title to the goods shall not pass to the Buyer until he has fulfilled all liabilities arising from his business connection with the Seller, which shall include settling accessory claims and claims for damages and honoring checks and bills. Title to the goods shall also remain with the Seller if the Seller’s claims have been included in a current account and the balance of this account has been struck and acknowledged.
8.2 If the Buyer defaults on his obligations to the Seller, the Seller shall have the right, without granting a respite and without cancelling a contract, to demand the return of the goods to which he retains title. Acceptance of the returned goods shall not constitute cancellation of a contract unless the Seller has expressly declared this in writing. If the Seller cancels the Contract, he shall have the right to demand appropriate compensation for having permitted the Customer to use the item for a certain period.
8.3 If goods to which the Seller retains title are processed into new products, the Buyer shall be deemed to be effecting such processing on behalf of the Seller without thereby acquiring any claims on the Seller. The Seller’s title shall thus extend to the products resulting from the processing. If goods to which title is retained by the Seller are processed together with, mixed with or attached to goods to which title is retained by third parties, the Seller shall acquire coownership of the resulting products in the ratio of the invoice value of the goods owned by him to the invoice value of the goods owned by those third parties. If the goods, as a result of such mixing or attaching, become part of a principal matter of the Buyer, the Buyer, by accepting these Conditions, assigns in advance his title to the new item to the Seller.
8.4 The Buyer shall be under obligation to provide, on behalf of the Seller, adequate storage of the item to which the Contractor retains title, to service and repair this item at his expense and to insure the same at his expense against loss and damage up to an extent which may reasonably be expected of a prudent businessman. By accepting these Conditions the Buyer assigns in advance to the Seller any claims which may accrue to him under the insurance policies.
8.5 As long as the Buyer duly meets his liabilities to the Seller, he shall have the right, in the normal course of business, to do as he wishes with the goods to which the Seller retains title.
This shall not apply, however, if he and his customers have concluded an agreement according to which the Buyer must not assign his claims on them to third parties. The Buyer shall not have the right to pledge, chattel mortgage or otherwise encumber the goods to which the Seller retains title. When reselling the goods, the Buyer shall make the passing of the title subject to full payment of the goods by his customers.
8.6 By accepting these Conditions, the Buyer assigns in advance to the Seller any claims which may arise from a resale of the goods to which the Seller retains title, together with any incidental rights and security interests including bills of exchange and checks, so as to provide the Seller with security for all claims he has on the Buyer as result of the business connection. If goods to which the Seller retains title are sold together with other goods at a single price, the assignment shall be limited to the portion of the invoice value which covers the goods to which the Seller retains title. If the Buyer sells goods of which the Seller has co-ownership pursuant to clause 8. 3., the assignment shall be limited to the portion of the invoice value which corresponds to the Seller’s co-ownership. If the Buyer uses goods to which the Seller retains title for processing a third party’s product on a contract basis, in accepting these Conditions he assigns in advance his contractual claim on the third party to the Seller in order to provide him with security for his claim. As long as the Buyer duly meets his liabilities to the Seller, he may collect claims from a resale or from contract processing himself. He shall not have the right to assign or pledge such claims as security.
8.7 If the Seller believes his claims to be at risk, the Buyer shall, at the Seller’s request, inform his customers of the assignment of his claims to the Seller and supply the Seller with all necessary information and documents. Any acts of third parties aimed at seizing goods to which the Seller retains title or at appropriating claims assigned to him shall be brought to the Seller’s attention by the Buyer immediately.
8.8 If the value of the security provided to the Seller exceeds the value of the claims to be safeguarded by more than 20 percent, the Seller shall, at the Buyer’s request, release security of his own choice accordingly.
9. Faults and defects
9.1. The Buyer shall notify any faults or defects to the Seller in written form immediately after the detection.
9.2. No warranty shall be granted for wear marks on delivered goods due to natural abrasion or incorrect usage/storage by the Buyer.
10. Technical consultation
Any technical consultation of the Seller´s sales representatives are made to the best of one´s knowledge but shall be considered as hints without obligation. The Buyer´s obligation to examine the delivered goods upon applicability is mandatory.
11. Product liability insurance
The seller shall under no circumstances be liable for loss of production, loss of profit or any other consequential loss. The insurance coverage is limited to DKK 10.000.000.
12. Place of performance and legal venue
12.1 The place of performance for all duties arising from the contractual relationship is our registered office. The law of the Kingdom of Denmark shall exclusively apply to the mutual legal relationships, subject to the exclusion of international sales law.
12.2 If the customer is a merchant in the sense of the commercial code, legal entity under public law or a special fund under public law, Sønderborg is the – also international – legal venue for all disputes arising from or in connection with the contractual relationship. Nevertheless, we are also entitled to lodge complaint in the general legal venue of the customer.

1. Allgemeines
1.1. Unsere Leistungen erfolgen nur zu den nachstehenden Bedingungen. Bedingungen des Bestellers verpflichten uns nicht, auch wenn sie nicht ausdrücklich zurückgewiesen worden sind.
1.2. Für die Ausführung und Abwicklung der geschäftlichen Beziehungen verarbeiten und speichern wir die entsprechenden Daten im Rahmen der geltenden Datenschutzrechtlichen Bestimmungen und soweit dies erforderlich ist. Zu anderen Zwecken werden die Daten nicht verwendet.
2. Angebot
2.1. Unsere Angebote sind freibleibend. Die Bestellung gilt erst dann als angenommen, wenn sie von uns schriftlich bestätigt worden ist, wobei zur Einhaltung der Schriftform die Textform nach § 126 b) BGB ausreichend ist. Für den Umfang der Lieferung ist unsere schriftliche Auftragsbestätigung maßgebend. Nebenabreden und Änderungen bedürfen unserer schriftlichen Bestätigung.
2.2. An Abbildungen, Zeichnungen, Kostenanschlägen und anderen Unterlagen sowie Mustern behalten wir uns Eigentums- und Urheberrechte vor; sie dürfen nicht vervielfältigt und Dritten zugänglich gemacht werden, es sei denn, wir stimmen ausdrücklich und schriftlich zu.
2.3. Konstruktionsänderungen bleiben vorbehalten.
3. Auftragsbestätigungen
3.1. Sämtliche Vereinbarungen bezüglich der Bezahlungsweise, Lieferbedingungen, Lieferzeiten sowie Skontierungen werden mit dem Kunden explizit vereinbart und gelten erst mit dem Erhalt der schriftlichen Auftragsbetätigung an den Besteller.
3.2. Der Besteller ist verpflichtet, die Auftragsbetätigung mit den oben genannten Punkten eingehend zu prüfen.
3.3. Eine Beanstandung der Auftragsbestätigung, hat schriftlich bis spätestens 7 Tage nach Erhalt zu erfolgen.
3.4. Unsere Preise verstehen sich zuzüglich gesetzlicher Mehrwertsteuer in der am Tag der Rechnungsstellung geltenden Höhe.
4. Lieferzeit
4.1. Die Lieferzeit beginnt mit der Absendung der Auftragsbestätigung, jedoch nicht, bevor uns alle vom Besteller zu beschaffenden Unterlagen, Genehmigungen, Freigaben vorliegen. Die Lieferzeit ist eingehalten, wenn wir bis zu ihrem Ablauf die Versandbereitschaft mitgeteilt haben oder der Liefergegenstand unser Werk verlassen hat.
4.2. Die Lieferzeit verlängert sich angemessen bei Maßnahmen im Rahmen von Arbeitskämpfen, insbesondere Streik und Aussperrung sowie bei Eintritt unvorhergesehener Hindernisse, die außerhalb unseres Willens liegen, soweit solche Hindernisse sich nachweislich auf die Fertigstellung oder Ablieferung des Liefergegenstands ausgewirkt haben. Dies gilt auch, wenn diese Umstände bei unseren Zulieferern aufgetreten sind. Die genannten Hindernisse sind von uns auch dann nicht zu vertreten, wenn sie während eines bestehenden Lieferverzugs entstehen. Die genannten Hindernisse werden wir dem Besteller gegebenenfalls umgehend mitteilen.
4.3. Wenn dem Besteller wegen einer Verzögerung, die infolge unseres Verschuldens entstanden ist, Schaden erwächst, so ist er unter Ausschluss weiterer Ansprüche berechtigt, eine Verzugsentschädigung zu fordern. Sie beträgt für jede volle Woche 0,5 %, im Ganzen aber höchstens 5% vom Wert desjenigen Teils unserer Leistungen, der infolge der Verspätung nicht rechtzeitig oder nicht vertragsgemäß benutzt werden kann. Dies gilt nicht, soweit uns Vorsatz oder grobe Fahrlässigkeit, die schuldhafte Verletzung einer wesentlichen Vertragspflicht nachgewiesen werden kann oder wir im Falle der Verletzung des Lebens, des Körpers oder der Gesundheit zwingend haften. Eine Änderung der Beweislast ist hiermit nicht verbunden. Dem Lieferer bleibt es unbenommen, nachzuweisen, dass ein Schaden überhaupt nicht entstanden oder wesentlich niedriger als die Pauschale ist.
4.4. Setzt uns der Besteller, nachdem wir bereits in Verzug geraten sind, für die Ausführung unserer Leistungen eine angemessene Nachfrist und läuft diese fruchtlos ab, so ist der Besteller verpflichtet, auf unser Verlangen hin innerhalb einer angemessenen Frist zu erklären, ob er bei Vorliegen der Voraussetzungen Nacherfüllung verlangt, vom Vertrag zurücktritt und/oder Schadenersatz statt der Leistung verlangt. Schadenersatzansprüche stehen dem Besteller jedoch nur dann zu, wenn uns Vorsatz oder grobe Fahrlässigkeit, eine erhebliche Pflichtverletzung oder die schuldhafte Verletzung einer wesentlichen Vertragspflicht zur Last gelegt werden kann oder wir wegen der Verletzung des Lebens, des Körpers oder der Gesundheit zwingend haften. Im Falle der schuldhaften Verletzung einer wesentlichen Vertragspflicht haften wir nur auf Ersatz des vertragstypischen, vernünftigerweise vorhersehbaren Schadens.
4.5. Die Einhaltung von Lieferfristen setzt die Erfüllung der Vertragspflichten des Bestellers voraus.
4.6. Wird der Versand auf Wunsch des Bestellers verzögert, so stellen wir ihm die Lagerkosten, beginnend einen Monat nach Mitteilung der Versandbereitschaft, in Rechnung, bei Lagerung in unserem Werk 0,5 % des Rechnungsbetrags für jeden Monat. Setzen wir dem Besteller eine angemessene Nachfrist, so sind wir nach deren Ablauf berechtigt, anderweitig über den Liefergegenstand zu verfügen und den Besteller mit angemessen verlängerter Frist zu beliefern. Der Nachweis und die Geltendmachung höherer oder niedrigerer Lagerkosten bleiben den Vertragsparteien unbenommen.
4.7. Ist der Besteller mit der Abnahme der bestellten Ware im Verzug, so können wir nach Ablauf einer weiteren angemessenen Fristsetzung vom Vertrag zurücktreten und Schadenersatz in Höhe von 15 % des Auftragswertes verlangen. Die Geltendmachung eines höheren Schadens bleibt vorbehalten. Dem Besteller bleibt es vorbehalten, einen geringeren Schaden nachzuweisen.
5. Gefahrübergang
5.1. Die Gefahr geht spätestens mit der Absendung der Lieferteile bzw. Übergabe an einen Spediteur auf den Besteller über, und zwar auch dann, wenn Teillieferungen erfolgen oder wir noch andere Leistungen, z. B. Versendungskosten oder Anfuhr und Aufstellung übernommen haben. Auf Wunsch des Bestellers und auf seine Kosten versichern wir den Liefergegenstand.
5.2. Verzögert sich der Versand aus Gründen, die der Besteller zu vertreten hat, so geht die Gefahr vom Zeitpunkt der Versandbereitschaft auf den Besteller über, wir sind jedoch verpflichtet, auf Wunsch und Kosten des Bestellers die Versicherungen zu bewirken, die er verlangt.
5.3. Teillieferungen sind zulässig.
6. Eigentumsvorbehalt
6.1. Bis zur vollständigen Bezahlung des oder der Produkte aus unserem Hause, und/oder bis zur vollständigen Bezahlung der Produkte über Leasing, Finanzierung –oder Mietkaufmodelle behalten wir uns folgende Sicherheiten vor:
6.2. Der Liefergegenstand bleibt bis zur Begleichung sämtlicher Verbindlichkeiten des Bestellers aus dem Geschäftsverkehr unser Eigentum.
6.3. Der Besteller darf den Liefergegenstand weder verpfänden noch zur Sicherung übereignen. Bei Pfändung sowie Beschlagnahme oder sonstigen Verfügungen durch Dritte hat er uns unverzüglich zu benachrichtigen. Kosten von Interventionen trägt der Besteller.
6.4. Wir sind berechtigt, die Herausgabe der Vorbehaltsware zu verlangen, wenn der Besteller seinen Zahlungsverpflichtungen entweder trotz einer nach dem Kalender bestimmten Zeit oder Fristsetzung nicht nachkommt. Das Herausgabeverlangen stellt zugleich den Rücktritt vom Vertrag dar.
7. Schulung in Initialisierungen
7.1. Schulungen des Fachpersonals, welche für den Gebrauch unserer Produkte notwendig sind werden, wenn nichts anderes vereinbart ist, gesondert vergütet. Verzögert sich die Schulung oder Initialisierung ohne unser Verschulden, so hat der Besteller alle Kosten für die Wartezeit und weiter erforderliche Reisen zu tragen.
8. Haftung
8.1. Die Produkte der Qavertec dienen ausdrücklich als Hilfsmittel zur Bestimmung und Kontrolle von physikalischen Eigenschaften bei Frischbetonwaren.
8.2. Für Schäden durch fehlerhafte Messungen, durch falsche Interpretation von Messergebnissen sowie hieraus resultierender Veränderungen im Produktionsprozess des Bestellers, übernehmen wir kein Haftung.
Dies gilt nicht für unabdingbare Ansprüche nach dem Produkthaftungsgesetz, in Fällen des Vorsatzes oder der groben Fahrlässigkeit, wegen der Verletzung des Lebens, des Körpers oder der Gesundheit oder der schuldhaften Verletzung einer wesentlichen Vertragspflicht. Im Falle der schuldhaften Verletzung einer wesentlichen Vertragspflicht haften wir allerdings nur für den vertragstypischen, vorhersehbaren Schaden, soweit nicht wiederum Vorsatz oder grobe Fahrlässigkeit vorliegt oder wegen der Verletzung des Lebens, des Körpers oder der Gesundheit. Eine Änderung der Beweislast zum Nachteil des Bestellers ist mit den Regelungen der Ziff. 8 nicht verbunden.
Für weitergehende Ansprüche ist unsere Ersatzpflicht im Falle leichter Fahrlässigkeit auf die Ersatzleistung unserer Haftpflichtversicherung beschränkt. Das gilt auch für die persönliche Haftung unserer Angestellten, Arbeitnehmer, Mitarbeiter, Vertreter und Erfüllungsgehilfen. Wir sind bereit, dem Besteller auf Verlangen Einblick in unsere Police zu gewähren.
9. Erfüllungsort und Gerichtsstand
9.1. Erfüllungsort für alle Verpflichtungen aus dem Vertragsverhältnis ist unser Geschäftssitz.
9.2. Auf die gegenseitigen Rechtsbeziehungen findet ausschließlich das Recht der Bundesrepublik Deutschland, unter Ausschluss der internationalen Kaufrechte Anwendung.

§ 1 Scope
(1) All deliveries of products, services and offers of CoaTIB GmbH (the “Seller”) shall be made exclusively on the basis of these general terms and conditions of sale (the “General Terms and Conditions”). These shall form an integral part of all contracts concluded by the Seller with its contractual partners (the “Customer”) concerning the deliveries of products or services offered by the Seller. They shall also apply to all future deliveries of products, services or offers to the Customer, even if not expressly agreed again.
(2) Standard business conditions of the Customer do not apply, regardless of whether or not we expressly object to them in a particular case. Any reference by the Seller to a document containing or referring to the Customer’s or a third party’s terms and conditions shall not constitute consent to their application.
(3) These General Terms and Conditions apply only if the Customer is a business entity (Section 14 of the German Civil Code), a legal entity under public law, or a special fund under public law.
§ 2 Offer, Orders, Technical Advice
(1) All offers made by the Seller are non-binding and subject to change unless ex-pressly designated as binding or include a specific acceptance period. Orders and purchase orders, including details regarding the scope, type, and timing of delivery, become binding only upon the Seller’s order confirmation (which may also serve as an invoice or delivery note). The Seller may accept orders or quotations within fourteen (14) days of receipt.
(2) Amendments and modifications to the agreements made, including these General Terms and Conditions, must be in writing to be effective. Except for managing directors or authorized signatories (Prokurist), employees of the Seller are not authorized to make oral agreements deviating from the written contract. Transmission by telecommunication, in particular by fax or email, shall be sufficient to meet the written form requirement.
(3) Information provided by the Seller regarding the specifications of the product or service (e.g., weights, dimensions, performance values, load capacity, tolerances and technical data) as well as presentations thereof (e.g., drawings and illustrations) are approximate unless exact conformity is required for the intended contractual purpose. Such information shall not constitute guaranteed characteristics but rather descriptions or identifications of the product or service. Customary deviations and deviations resulting from legal requirements or technical improvements shall be permissible provided they do not impair the usability for the intended contractual purpose.
(4) Technical advice provided by the Seller or the Seller’s sales representatives is given to the best of their knowledge but should be regarded as non-binding information. The Customer is responsible for verifying that the delivered goods are suitable for the intended purpose.
(5) Due to their material composition, the Seller’s products may be suitable for their intended use only for a limited period of time (shelf life). The Seller assumes no guarantees for any information provided, in particular no guarantees regarding quality or shelf life, unless otherwise agreed in writing in individual cases. If the delivered goods are to be incorporated into another item or applied to another item by the Customer, the Customer must conduct the inspection as defined in Section 6 (2) of these General Terms and Conditions prior to incorporation or application.
(6) The Seller reserves title and copyright to all offers and cost estimates submitted by it, as well as to all drawings, illustrations, calculations, brochures, catalogues, models, tools and other documents and resources made available to the Customer. The Customer shall not disclose or make such materials accessible to third parties, nor use or reproduce them itself or through third parties, without the Seller’s express consent. Upon request by the Seller, the Customer shall return such materials in full and destroy any copies made, if they are no longer required in the ordinary course of business or if negotiations do not lead to the conclusion of a contract. The aforementioned return and destroy obligation shall not apply to storage of electronically provided data for customary data backup.
§ 3 Prices and Payment, Credit Insurance
(1) Prices apply to the scope of performance and delivery specified in the order confirmations. Additional or special services shall be charged separately. Prices are quoted in EUR ex works plus packaging, statutory VAT, customs duties for export deliveries, and other public charges.
(2) To the extent that the agreed prices are based on the Seller’s list prices and delivery is scheduled to take place more than four months after the conclusion of the contract, the Seller’s list prices in effect at the time of delivery shall apply (in each case less any agreed percentage or fixed discount). The base price for price calculation shall be the list price in EUR (net). A price adjustment shall only take place if the list price changes relative to the base price and this change is based on a verifiable change in cost factors, in particular changes in raw material and material costs, wage and personnel costs, energy costs, or sales tax or other statutory levies. The price adjustment shall be made as a percentage of the change in the relevant list price and may not exceed the actual cost increases. The Seller is obligated to provide the Client, upon request, with evidence of the reasons for and the basis of calculation of the price adjustment. Reductions in the list price shall benefit the Client in the same manner as price increases. In the event of a price increase that significantly exceeds the rise in the general cost of living during the period between the conclusion of the contract and delivery, the Client is entitled to withdraw from the contract by immediately notifying the Seller in writing. The right of withdrawal must be exercised within two weeks of notification of the price increase.
(3) Invoice amounts shall be payable within thirty (30) days without any deduction, unless otherwise agreed in writing. The date of payment shall be the date on which the amount is received by the Seller. Payment by cheque is excluded unless expressly agreed in individual cases. If the Customer fails to make payment when due, the outstanding amounts shall bear interest at a rate of 5% p.a. from the due date; the Seller reserves any rights to claim higher interest and further damages in case of default.
(4) The Customer may only offset counterclaims or withhold payments if such counterclaims are undisputed or have been finally adjudicated, or arise from the same contractual relationship under which the relevant delivery was made.
(5) The Seller shall be entitled to perform outstanding deliveries of products or services only against advance payment or provision of security if, after conclusion of the contract, circumstances become known that are likely to significantly impair the Customer’s creditworthiness and jeopardize the payment of the Seller’s outstanding claims under the relevant contractual relationship (including other individual orders governed by the same framework agreement).
(6) The Seller reserves the right to withdraw from a binding order by notifying the Customer in writing if the Seller’s credit insurance provider informs the Seller that the Customer is not insured. The Customer may prevent the withdrawal if, within eight days of receiving the Seller’s notice of withdrawal from the contract, the Customer provides appropriate alternative security for the purchase price claim that is accepted by the seller.
§ 4 Delivery and Delivery Period, Export Restrictions
(1) Deliveries shall be made ex works („EXW“) within the meaning of the Incoterms 2020.
(2) Any delivery and performance periods or dates indicated by the Seller shall be approximate only, unless a fixed period or date has been expressly confirmed or agreed. Where shipment has been agreed, delivery periods and dates shall refer to the time of handover to the carrier, freight forwarder or other third party commissioned with the transport, unless expressly stated otherwise by the Seller.
(3) Without prejudice to its rights arising from the Customer’s default, the Seller may demand an extension of delivery and performance periods or a postponement of delivery and performance dates by the period during which the Customer fails to fulfill its contractual obligations towards the Seller.
(4) The Seller shall not be liable for impossibility of delivery or delays in delivery to the extent such impossibility or delay is caused by Force Majeure or other events unforeseeable at the time of contract conclusion (e.g., operational disruptions of any kind, difficulties in the procurement of materials or energy, transport delays, strikes, lawful lockouts, shortage of labor, energy or raw materials, difficulties in obtaining necessary official permits, pandemics or epidemics, governmental actions, or the failure of suppliers to deliver correctly or on time despite a congruent covering transaction concluded by the Seller), and which are not attributable to the Seller’s fault. If such events materially hinder or render delivery or performance impossible and the impediment is not temporary, the Seller shall be entitled to withdraw from the contract. In the case of temporary impediment, delivery or performance periods shall be extended or delivery or performance dates postponed by the duration of the impediment plus a reasonable start-up period. If acceptance of the delivery or service becomes unreasonable for the Customer due to the delay, the Customer may withdraw from the contract by immediate written notice to the Seller.
(5) The Seller shall be entitled to make partial deliveries only if
- the partial delivery is usable by the Customer within the scope of the contractual purpose,
- the delivery of the remaining ordered goods is ensured, and
- the Customer does not incur significant additional effort or costs (unless the Seller agrees to bear such costs).
(6) If the Seller is in default with a delivery or performance or if delivery or performance becomes impossible for any reason, the Seller’s liability for damages shall be limited in accordance with Section 8 of these General Terms and Conditions.
(7) The Seller is entitled to withdraw from the contract if the Customer or the country in which the Customer is headquartered is subject to export restrictions — particularly those of the United States, the European Union, and Germany — that infringe upon the Seller’s legitimate interests, insofar as such restrictions relate to the export, re-export, transfer, or resale of products. The Seller must declare the withdrawal within seven days of becoming aware of the export restriction. The same applies if the country in which the company to be supplied or the customer is based has enacted import restrictions that impair the seller’s legitimate interests.
§ 5 Shipment, Packaging, Transfer of Risk, Acceptance
(1) The scope of delivery is determined by the Seller’s written order confirmation. The mode of shipment and packaging shall be determined at the Seller’s reasonable discretion.
(2) The risk shall pass to the Customer at the latest upon handover of the product (the commencement of the loading process being decisive) to the carrier, freight forwarder or other third party designated to carry out the shipment, provided shipment has been agreed and the Seller is not responsible for transport or installation. If shipment or handover is delayed due to circumstances attributable to the Customer, the risk shall pass to the Customer on the day the product is ready for dispatch, and the Seller has notified the Customer accordingly.
(3) Storage costs incurred after the transfer of risk shall be borne by the Customer. If storage is carried out by the Seller, the storage costs shall amount to (0.25)% of the invoice value of the stored products per completed week. The right to assert and prove further or lower storage costs remain unaffected.
(4) The shipment shall be insured by the Seller against theft, breakage, transport, fire and water damage or other insurable risks only upon the Customer’s express request and at the Customer’s expense.
§ 6 Warranty, Material Defects
(1) The warranty period shall be one (1) year from delivery of the product. This period shall not apply to claims for damages by the Customer arising from injury to life, body or health or from intentional or gross negligent breaches of duty by the Seller or its vicarious agents, which shall be subject to the statutory limitation periods.
(2) Upon delivery of the product to the Customer or to a third party designated by the Customer, the delivered products shall be diligently and without delay inspected by the Customer. With respect to obvious defects or other defects that would have been detectable through prompt and careful inspection, the delivered products shall be deemed approved by the Customer unless the Seller receives a written notice of defect specifying the nature and extent of the alleged defects within ten (10) business days of delivery of the product. With respect to other defects, the products shall be deemed approved unless the Seller receives a notice of defect within (seven) business days from the date the defect becomes apparent; if the defect was already apparent at an earlier time during normal use, that earlier time shall be decisive for the commencement of the notice period. Upon request by the Seller, the defective product shall be returned to the Seller freight prepaid. In the case of a justified notice of defect, the Seller shall reimburse the cost of the most economical shipping method; this shall not apply if the costs increase because the product is located at a place other than the intended place of use.
(3) In the event of defects in the delivered products, the Seller shall, at its discretion and within a reasonable period, be obliged and entitled to remedy the defect or deliver a replacement. If such remedy fails, i.e., in the case of impossibility, unreasonableness, refusal or undue delay of the remedy or replacement, the Customer may withdraw from the contract or reduce the purchase price appropriately.
(4) If a defect is attributable to the Seller’s fault, the Customer may claim damages under the conditions set out in Section 8.
(5) The warranty shall lapse if the Customer modifies the delivered product or has it modified by third parties without the Seller’s consent and the defect remedy thereby becomes impossible or unreasonably difficult. In any case, the Customer shall bear the additional costs incurred for remedying the defect due to such modification.
(6) Any delivery of used products agreed individually with the Customer shall be made under exclusion of any warranty for defects in quality.
§ 7 Liability for Damages Due to Fault
(1) The Seller’s liability for damages, regardless of the legal basis – particularly due to impossibility, delay, defective or incorrect delivery, breach of contract, breach of duties during contract negotiations, or tort – is limited in accordance with this Section 7, to the extent the Seller’s fault is relevant for the liability in each case.
(2) The Seller shall not be liable for simple negligence on the part of its bodies, legal representatives, employees or other vicarious agents, unless material contractual obligations are breached. Material contractual obligations are those whose fulfillment is necessary for the proper execution of the contract and on which the contracting party regularly relies.
(3) To the extent the Seller is liable for damages pursuant to Section 7 (2), such liability shall be limited to damages that the Seller foresaw as a possible consequence of a breach of contract at the time of contract conclusion or that the Seller should have foreseen by exercising the due diligence of a prudent merchant. Indirect damages and consequential damages resulting from defects in the product shall only be compensable to the extent that such damages are typically to be expected when the product is used as intended. The aforementioned provisions of this paragraph 3 shall not apply in cases of intentional misconduct or gross negligence by the Seller’s executive bodies or senior management.
(4) In the event of liability for simple negligence, the Seller’s obligation to compensate for property damage and resulting financial losses shall be limited to an amount of EUR 3.000.000,00 per damage event, irrespective if essential contractual obligations are breached.
(5) The above exclusions and limitations of liability shall apply equally in favor of the Seller’s bodies, legal representatives, employees and other vicarious agents.
(6) To the extent the Seller or his sales representatives provide technical information or advice and such information or advice is not part of the contractually agreed scope of performance, it shall be provided free of charge and without any liability.
(7) The limitations of this Section 7 shall not apply to the Seller’s liability for intentional misconduct, guaranteed specifications, injury to limb, life or health, or under the German Product Liability Act.
§ 8 Retention of Title and Resale
(1) The Seller retains title to the goods until all payments arising from the business relationship with the Customer have been received. This retention of title also extends to the acknowledged balance that the Seller has posted to the Customer’s account on an open account basis (retention of title on open account).
(2) In the event of a breach of contract by the buyer, particularly in the event of late payment, the seller is entitled, after setting a reasonable deadline, to take back the delivered goods; the buyer is obligated to surrender them. The seller’s taking back of the delivered goods always constitutes a withdrawal from the contract. The attachment of the delivered goods also always constitutes a withdrawal from the contract. In the event of seizures or other interventions by third parties, the buyer must immediately notify the seller in writing so that the seller may file a lawsuit pursuant to § 771 of the German Code of Civil Procedure (ZPO). To the extent that the third party is unable to reimburse the seller for the judicial and extrajudicial costs of a lawsuit pursuant to § 771 ZPO, the buyer shall be liable for the resulting loss.
(3) The Customer is entitled to resell the delivered goods in the ordinary course of business; however, the Customer hereby assigns to the Seller all claims in the amount of the final invoice amount (including VAT) that arise from such resale against its customers or third parties, regardless of whether the delivered goods were resold without or after processing. The customer remains authorized to collect this claim even after its assignment. The seller’s authority to collect the claim itself remains unaffected by this; however, the seller undertakes not to collect the claim as long as the customer duly meets its payment obligations and is not in default of payment. In this case, the seller may demand that the buyer disclose to the seller the assigned claims and their debtors, provide all information necessary for collection, hand over the relevant documents, and notify the debtors (third parties) of the assignment.
(4) Any processing or transformation of the delivered goods by the buyer shall always be carried out on behalf of the seller. If the delivered goods are processed together with other items not belonging to the seller, the seller shall acquire co-ownership of the new item in proportion to the value of the delivered goods relative to the other processed items at the time of processing. In all other respects, the same provisions apply to the item created by processing as to the goods subject to retention of title.
(5) If the delivered item is inseparably combined or mixed with other items not belonging to the Seller, the Seller shall acquire co-ownership of the new item in proportion to the value of the delivered item relative to the other combined or mixed items at the time of combination or mixing. If the combination or mixing was carried out in such a way that the customer’s item is to be regarded as the principal item, it is deemed agreed that the customer shall transfer proportional co-ownership to the seller. The customer shall hold the sole ownership or co-ownership in trust for the seller.
(6) The Customer shall also assign to the Seller, as security for the Buyer’s claims against the Customer, any claims that the Customer may have against a third party arising from the incorporation of the delivered goods into real property.
(7) The Seller agrees to release the security to which it is entitled, upon the Customer’s request, to the extent that its value exceeds the outstanding claims—to the extent such claims have not yet been settled—by more than 20%.
§ 9 Miscellaneous, Confidentiality
(1) The Customer agrees not to use or disclose to third parties any trade or business secrets (documents, drawings, plans, specifications, confidential information, know-how, production methods, and the like) made available to it by the Seller or the Seller’s agents during the business relationship without the Seller’s consent. Upon the Seller’s request, all business or trade secrets in physical form must be returned to the Seller. This does not apply to information that is publicly and lawfully accessible or was already known to the Customer prior to its disclosure. The confidentiality obligation shall remain in effect even after the termination of the business relationship.
(2) If the Customer is a merchant as defined by the German Commercial Code, a legal entity under public law, or a special fund under public law, the exclusive—including international—place of jurisdiction for all disputes arising out of or in connection with the contractual relationship shall be the Seller’s place of business. However, the Seller is also entitled to bring an action in the customer’s general place of jurisdiction.
(3) The business relationship between the Seller and the Customer shall be governed exclusively by the laws of the Federal Republic of Germany, under exclusion of the United Nations Convention on Contracts for the International Sale of Goods of 11 April 1980 (CISG).
(4) If the sales contract or these General Terms and Conditions has any gaps, such legally valid provisions are deemed to be agreed which the parties would have agreed had they known the gap, bearing in mind the economic targets of the sales contract and these General Terms and Conditions.
